Terms of Service | IEEPA Exchange

1. Acceptance of Terms

By accessing and using the IEEPA Exchange platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

IEEPA Exchange operates an online marketplace that facilitates the buying and selling of IEEPA tariff refund claims between Importers of Record ("Sellers") and qualified institutional investors ("Buyers"). IEEPA Exchange provides underwriting, listing, buyer matching, and transaction facilitation services.

3. Eligibility

The Platform is available to businesses and individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. Sellers must be the Importer of Record or authorized representative for any claims listed. Buyers must complete a qualification process before accessing marketplace listings.

4. Account Registration

You must register for an account to access certain features of the Platform. You agree to provide accurate and complete information during registration and to keep your account information current. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5. Fees and Payment

Sellers are subject to a listing fee when a claim is published on the marketplace and a commission on the final sale price at closing. Buyers may be subject to transaction fees. All fees are disclosed prior to listing or transaction completion. IEEPA Exchange reserves the right to modify its fee structure with reasonable advance notice.

6. Listing and Transaction Process

All claims submitted to the Platform are subject to underwriting review. IEEPA Exchange reserves the right to reject any claim that does not meet its underwriting standards. Listing a claim does not guarantee a sale. All transactions are subject to binding term sheets executed by both buyer and seller.

7. Representations and Warranties

Sellers represent and warrant that they are the rightful owners of the claims they list, that all information provided is accurate and complete, and that they have the authority to sell the claim. Buyers represent that they have the financial capacity to complete purchases and have conducted their own due diligence.

8. Limitation of Liability

IEEPA Exchange acts as a marketplace facilitator and does not guarantee the outcome of any transaction, the collectability of any refund claim, or the actions of any buyer or seller. To the maximum extent permitted by law, IEEPA Exchange shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform.

9. Indemnification

You agree to indemnify and hold harmless IEEPA Exchange, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

10. Intellectual Property

All content, features, and functionality of the Platform are owned by IEEPA Exchange and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without our express written permission.

11. Termination

IEEPA Exchange may terminate or suspend your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York, NY.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms.
